Two years, then trade secrets

Confidentiality runs two years from the day you sign. Anything that qualifies as a trade secret stays protected for as long as it remains one under the Colorado Uniform Trade Secrets Act.

No non-compete

Colorado voids most non-competes and customer non-solicits outright under C.R.S. § 8-2-113. Mine contains neither — and I will not sign one that does.

Assertive Holdings, LLC, doing business as M. Curtis McCoy. That is the entity bound by the agreement, and it is the name on the signature block.

How long does it last?

Two years from the day you sign. Trade secrets stay protected for as long as they remain trade secrets under Colorado law, which is longer.

Does signing commit either of us to anything else?

No. It covers confidentiality and nothing more. No obligation to hire, to quote, to disclose anything in particular, or to proceed at all.

Will you sign a non-compete?

No. Colorado voids most of them anyway, and an agency that agrees not to work in your industry is an agency with no experience in it.

Do I actually need one?

If the conversation involves revenue numbers, customer data, unreleased plans, or anything your competitors would enjoy reading, sign an NDA first. It costs you a minute and takes the question off the table for both of us. If it is a general conversation about what you are trying to achieve, you probably do not need one — but the option is here either way.
